Terms of service — draft
These terms are a draft. No legal entity exists yet (Prefill Systems, LLC formation is pending), public contact channels are not yet set up, and the operator has not finalized this document.
These proposed terms describe the intended operating rules and require review before onboarding-ready publication. They do not represent that an unformed company is already operating. Any separately agreed evaluation or service arrangement remains applicable.
1. The service
Prefill Systems operates an OpenAI-compatible inference API for the Qwen3.8-27B model. During this pilot the service is invitation-only: there is no public signup or self-service payment checkout. Participation is by invitation from the operator and subject to the access arrangements agreed with that customer.
2. Accounts
- Invitations are personal and single-use. Do not share invitation links; each link stops working once a password is set.
- Keep your password and API keys confidential. You are responsible for activity under your account and keys.
- You must provide a working email address; the operator may need it to reach you about your access.
- One account per person unless the operator agrees otherwise.
3. API keys
- Keys are created in the dashboard and shown in full exactly once. Treat them like passwords.
- Keys authenticate requests to the API and attribute usage to your account. Keys are scoped to the account that created them.
- Revoke keys you no longer use; revocation takes effect immediately.
- Never embed a key in client-side code, public repositories, or anywhere other people can see it. If a key leaks, revoke it in the dashboard and create a new one.
- Abuse of keys (sharing, resale, or use outside this service's API) may result in revocation and account termination.
4. Acceptable use
You agree to use the service lawfully and for legitimate application development and evaluation, and not to:
- Attempt to access other customers' accounts, keys, usage, or data;
- Probe, scan, or attack the gateway, its infrastructure, or other customers;
- Use the service to generate unlawful content or to infringe others' rights;
- Circumvent rate or capacity limits, or interfere with service operation;
- Resell access to the API without the operator's written agreement.
5. Content and outputs
You are responsible for the prompts you submit and for how you use generated output. Model output can be wrong, biased, or otherwise unsuitable — verify anything important. The service is not a source of medical, legal, financial, or other professional advice. As described in the privacy policy, prompts and completions are processed in memory and not stored by us; you should still avoid sending content you are not authorized to process.
6. Availability
The pilot runs a real, monitored gateway, but it is provided as-is and best-effort with no SLA: no uptime percentage, no maintenance windows, no compensation for outages. Backends can be busy (the API answers 429 — retry later) or unavailable (503). Live state is published on the status page. The operator may change, suspend, or discontinue the pilot (or your access to it) at any time, with notice where practical.
7. Fees
The portal does not collect payments or issue invoices. Dashboard amounts are usage-based estimates, not account balances, invoices, or evidence of payment. Any charges and payment obligations must be agreed separately before paid use; lack of a checkout does not promise free service. Once OpenRouter distribution is live, its customers purchase under OpenRouter's own payment arrangements.
8. Intellectual property
The gateway software, website, and brand are the operator's (or its licensors'). The model is third-party (Qwen) and remains subject to its own license terms. Using the service does not transfer any rights to you beyond the permission to call the API under these terms.
9. Disclaimers and limitation of liability
To the maximum extent permitted by law, the service is provided "as is" without warranties of any kind, and the operator is not liable for indirect, incidental, special, or consequential damages, or for loss of profits, data, or goodwill, arising from the service, even if advised of the possibility. Total liability for any claim relating to the service is limited to the amounts you paid the operator for the service in the preceding twelve months, to the extent such limitation is enforceable.
10. Termination
The operator may suspend or terminate access — including disabling accounts and revoking keys — for violations of these terms, abuse, security risk, or at the pilot's end. You may stop using the service at any time and ask to have your account deleted via the contact route. Sections that by their nature survive (disclaimers, liability, IP, governing law) survive termination.
11. Changes
These are draft terms (v0.1, September 2026). The operator may update them as the pilot matures; finalized terms will be published once the operating entity and contact channels exist. Continued use after material changes constitutes acceptance of the updated terms.
12. Governing law
These terms are intended to be governed by the laws of the State of Colorado, United States, where Prefill Systems, LLC is being formed. Disputes will be resolved in Colorado courts once the entity exists and these terms are finalized; until then this clause records intent rather than a binding forum.
